Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Lingolet Inc. (“Lingolet,” “we,” “us,” or “our”) and govern your access to and use of the LinguaStage platform, websites, applications, and related services (collectively, the “Service”).
By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.
1. The Service
LinguaStage provides multilingual conference tools, including live transcription, AI translation and interpreting, on-screen captions and projection, scan-to-listen audience access, terminology management, and post-event deliverables. Features vary by plan and may change over time.
2. Accounts and Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account.
You must promptly notify us of any unauthorized use of your account. We may suspend or terminate accounts that violate these Terms.
3. Plans, Billing, and Payment
Paid plans are billed in advance on a recurring basis (e.g., monthly) or as pay-as-you-go credits, as described at the point of purchase. Usage beyond included allowances may incur overage charges at the rates then in effect.
Unless required by law or expressly stated otherwise, payments are non-refundable. You authorize us and our payment processors to charge your selected payment method. Fees are exclusive of taxes, which you are responsible for. We may change pricing prospectively upon notice.
4. Acceptable Use
You agree not to, and not to permit others to:
- Use the Service for any unlawful, infringing, deceptive, or harmful purpose;
- Upload or transmit content you do not have the right to use, or that violates the rights of others;
- Capture, record, or process audio or personal information without obtaining all legally required consents from participants;
- Reverse engineer, scrape, overload, or interfere with the Service or its infrastructure;
- Resell or provide the Service to third parties except as expressly permitted by your plan; or
- Use the Service to develop a competing product.
5. Customer Content and Consent
You retain ownership of the audio, text, glossaries, recordings, and other materials you or your participants provide (“Customer Content”). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide and improve the Service.
You are solely responsible for obtaining any consents, notices, and rights required to capture and process Customer Content, including consent to record and transcribe meetings and to process the personal information of participants under applicable law.
6. AI Output; No Guarantee of Accuracy
The Service uses automated speech recognition, machine translation, and other AI systems. AI output may contain errors, omissions, or inaccuracies and is provided for convenience. It is not a substitute for professional human interpretation or certified translation where accuracy is critical. You are responsible for reviewing output before relying on it.
7. Third-Party Services
The Service may rely on third-party providers (such as cloud, speech, translation, and email vendors) and may interoperate with third-party products. We are not responsible for third-party services, and your use of them may be subject to their own terms.
8. Intellectual Property
The Service, including its software, interfaces, and content (excluding Customer Content), is owned by Lingolet and its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-transferable, non-exclusive license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION, TO THE FULLEST EXTENT PERMITTED BY LAW.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LINGOLET AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You will defend, indemnify, and hold harmless Lingolet and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your Customer Content, your use of the Service, or your violation of these Terms or applicable law.
12. Term and Termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or create risk or legal exposure for us. Upon termination, your right to use the Service ends, and provisions that by their nature should survive will survive.
13. Changes to the Service and Terms
We may modify the Service or these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting an updated effective date or notifying you). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, you and Lingolet agree to the exclusive jurisdiction of the state and federal courts located in California for any disputes not subject to arbitration.
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered in California under the rules of a recognized arbitration provider, on an individual basis. You and Lingolet waive any right to a jury trial and to participate in a class or representative action, to the extent permitted by law. Either party may seek injunctive relief in court to protect intellectual property or confidential information.
15. Miscellaneous
These Terms, together with any plan-specific or order terms, are the entire agreement between you and Lingolet regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
